Decision of the Management Board of INPRO S.A. on the payment of a dividend

The Management Board of INPRO S.A. (the “Company”) informs that is has made a decision to propose to the Ordinary General Assembly of the Company the payment of the dividend of PLN 0.25 (in words: twenty five groszes) per share for 2022.
The Management Board also informs that today it adopted resolution No. 4/2023 on the motion of the Management Board regarding the distribution of the Company's net profit for 2022.
Pursuant to the resolution, the Management Board of INPRO S.A. moves that part of the Company’s net profit for 2022, that part being PLN 10,010,000.00 (in words: ten million and ten thousand zlotys), i.e. PLN 0.25 (in words: twenty five groszes) per share be allocated towards the payment of the dividend to the Company’s shareholders, and the remaining part of the Company’s net profit for 2022, that part being PLN 33,526,363.95 (in words: thirty three million five hundred and twenty six thousand three hundred and sixty three and 95/100 zlotys) be allocated for the increase of the Company’s supplementary capital.
The Company's Management Board suggests that 25 July 2023 should be fixed as the record date and 8 August 2023 as the dividend payment date.
The above-mentioned proposals regarding the dividend payment will be recommended to the Company's Ordinary General Assembly, which will make, in conformity with its powers, a final decision on that issue. The opinion on the recommendation put forward by the Management Board will also be issued by the Company's Supervisory Board in a relevant resolution.
