Current report no 23/2026

The Management Board of INPRO S.A. (the “Company”) with its registered office in Gdańsk informs that in relation to:

  1. filing by Mr Szymon Lewiński, on 26/05/2026, of resignation from membership in the Supervisory Board effective from 25/06/2026, of which the Company advised in Current report No. 10/2026 of 26/05/2026, 
  2. filing by Mr Zbigniew Lewiński on 26/05/2026 of a statement of resignation from the membership in the Management Board of INPRO SA with its registered office in Gdańsk effective from 23 June 2026. In the verbal explanation provided, Mr Zbigniew Lewiński stated that he intended to stand as a candidate for the Supervisory Board of INPRO S.A. and, if elected, to serve in the Issuer’s supervisory body, of which the Company advised in Current Report No. 10/2026 of 26/05/2026,

on 26 June 2026 the Ordinary General Meeting of the Company (“the GM”) adopted a resolution on the appointment of Mr Zbigniew Lewiński as member of the Supervisory Board for the common term of office of that governing body. 

The Management Board of INPRO S.A. encloses the curriculum vitae of the appointed Member of the Supervisory Board and indicates that pursuant to his statement submitted to the Company Zbigniew Lewiński does not pursue professional activity which would be competitive in relation to INPRO S.A., participate in a competitive company/partnership as a partner or a member of a governing body of               a company, or participates in any competitive legal person as a member of its governing body. Moreover, he is not recorded in the Register of Insolvent Debtors kept on the basis of the National Court Register Act. 

The Company states that Mr Zbigniew Lewiński does not satisfy the independence criteria applicable to members of the Supervisory Board as set out in Annex II to the Commission Recommendation 2005/162/EC of 15 February 2005 on the role of non-executive or supervisory directors of listed companies and on the committees of the (supervisory) board (OJ L 52, 25/02/2005, p. 51), in Article 129 the Act of 11 May 2017 on statutory auditors, audit firms and public supervision (the consolidated text in Dz.U. [Journal of Laws of the Republic of Poland] of 2025, item 1891, as amended), as well as the additional requirements specified in the Best Practice for GPW Listed Companies, constituting an appendix to Resolution No. 13/1834/2021 of the Stock Exchange Council dated 29 March 2021.
