The Management Board of INPRO S.A. (further the "Company"), with reference to current report No. 33/2015 of 20/07/2015 informs that on 29 July 2015 the Chairman of the Supervisory Board as the Company's representative signed management contracts with two Members of the Management Board, Mr Zbigniew Lewiński and Mr Krzysztof Maraszek, on the following conditions:
1. Term of the agreement: from 1 August 2015 to the end of the term of office. If the Member of the Management Board is appointed for the next term of office, this agreement is binding for the next term of office directly following the current term of office.
2. The Member of the Management Board is obliged to abstain from competitive business during the term of the contract and for 12 months after its end. For the period in which the restriction continues to be in force, the Company undertook to pay the Member of the Management Board the monthly compensation equal to 75% of the basic remuneration for the last full calendar month of the fulfilment of the function.
3. The Member of the Management Board is obliged to keep business secret during the term of the contract and for 3 years from its end.
4. The gross monthly remuneration of the Member of the Management Board was fixed at PLN 70,000 (payable in arrears).
5. The Member of the Management Board shall have the right to additional annual remuneration subject to the Company achieving profit for a given accounting year and to the approval of the financial statements by the General Assembly. The amount of that remuneration element will be determined each time by way of a resolution of the Supervisory Board.
6. The contract may be terminated by either party with a three months' notice given to the other party in writing on pain of nullity. It may also be terminated at any time by mutual agreement between the parties.
7. Resignation by the Member of the Management Board from his or her function in the course of the term of office equals the termination of the contract with one month notice ending on the last day of the month.
8. In the event of the termination by the Company of the contract with three months' notice and of the termination of the contract with immediate effect by the Member of the Management Board (in the case of gross violation of the rights of the Member of the Management Board, in particular the lack of the payment by the Company of the remuneration in the amounts and within the time limits set out by the agreement), the Company is obliged to pay the Member of the Management Board the severance pay in the amount of PLN 1,200,000.
The above information is given by the Management Board on the basis of Article 56 par. 1 item 1 of the Act of 29 July 2005 on public offering, conditions governing the introduction of financial instruments into the organised trading system, and on public companies (i.e. Dz. U. [Journal of Laws] 2013, item 1382).
